RE:      REQUEST FOR PROPOSALS FOR AVAILABLE CAPACITY

Tennessee Gas Pipeline Company, L.L.C. (“Tennessee”) is soliciting non-binding proposal(s) to enter into firm transportation contract(s) under Rate Schedule FT-A of Tennessee's FERC NGA Gas Tariff (as it may be amended from time to time, the “Tariff”) for any or all of the following paths:

Later of April 1, 2028, or third-party facility's commencement date

420546 – TGP/SNG ROSE HILL MISS CLARKE

Later of April 1, 2028, or third-party facility's commencement date

End Date

Up to 15 years from the commencement date

Up to 20,000 Dth/d

 

Potential shippers may submit proposals for firm transportation service for one or more of the above-described paths. Tennessee will consider any mutually agreeable meters within the above-described capacity paths. Potential shippers are under no obligation to select multiple paths, nor to submit proposals for the entire quantity available for a path, as set forth above, in order to be deemed the best proposal.

As noted above, the availability of capacity along the above-described paths is contingent on certain third-party facilities being constructed and placed in service. Therefore, the commencement date for transportation service along each of the above-described paths is dependent on such facilities being completed and placed in service.

Because the availability of this capacity is dependent upon certain third-party facilities, this capacity will not have a right of first refusal but could have a right to renew if required third party contracts are executed.

 

Please be advised that while all proposals will be reviewed and considered, Tennessee prefers contract terms ranging from five to fifteen years. Proposals offering longer-term commitments within this range will be given greater consideration in the evaluation process.

Tennessee intends to select, on a not unduly discriminatory basis, the proposals with the highest value to Tennessee, taking into consideration proposed contract terms as discussed above. The capacity contemplated by this Request for Proposal for Available Capacity (this “Request”) has been posted as available for at least five business days. Accordingly, pursuant to Article XXVI, Section 5 of the General Terms and Conditions of its Tariff, Tennessee is not required, and does not plan, to post a pre-arranged open season in connection with any capacity awarded as a result of this Request.

Notwithstanding anything to the contrary that may be set forth herein, without limiting or waiving any other rights that Tennessee may have with respect to this Request, Tennessee reserves the right to, upon notice, modify this Request or, on a not unduly discriminatory basis, and subject to Tennessee's Tariff, reject any proposal(s) to enter into a binding agreement.
