Due to increased pipeline capacity utilization and elevated storage levels, Equitrans has limited flexibility to absorb newly created due shipper
imbalances or payback of existing due pipeline imbalances on its Gathering System, Mainline Transmission System, Sunrise Transmission
System and the Allegheny Valley Connector System.

Beginning on Wednesday, December 9, 2015 at 10:00 AM EST, Equitrans requires all gathering, transmission and storage system customers to
keep actual receipt point volumes delivered into Equitrans’ systems equal to the lesser of 2% or 1,000 Dth/d above scheduled nominations and
for customers to keep actual delivery point volumes delivered off of the system equal to the lesser of 2% or 1,000 Dth/d below scheduled
nominations. In addition, Equitrans is able to accept the lessor of 4% or 10,000 Dth/d of nominated receipts and deliveries that create due
pipeline imbalances or payback due shipper imbalances (under-delivery, over-take). The tolerances listed above are applicable to all
nominations covered by an OBA or a contract with balancing terms.

Equitrans will inform Customers via an update to this notice when this OFO will be lifted.

This action is pursuant to Sections 6.11 and 6.12 of the General Terms and Conditions of Equitrans’ FERC Gas Tariff. If Customer and/or
Customer’s operator fails to comply with the terms of this OFO, such Customer shall be subject to (1) liability for any damages including, but not
limited to, direct, consequential, exemplary, or punitive dames incurred by Equitrans or any other party as a result of such failure, (2) a penalty of
$25 per Dth times the quantity of gas by which the Customer deviated from the requirements of this OFO, (3) flow control, and/or (4) a reduction
in scheduled quantities to match flowing gas. In addition, Equitrans will not permit post-cycle adjustments to avoid an OFO penalty.
