Due to elevated storage levels and unseasonably warm temperatures, Equitrans has limited flexibility to manage imbalances on its Gathering
System, Mainline Transmission System, the Sunrise Transmission System and the Allegheny Valley Connector.

Effective Thursday, December 24, 2015 at 10:00 AM EST, Equitrans requires all gathering, transmission and storage system customers to keep
actual receipt point volumes delivered into the system equal to the lesser of 4% or 10,000 Dth/d above scheduled nominations and for
customers to keep actual delivery point volumes delivered off of the system equal to the lesser of 4% or 10,000 Dth/d below scheduled
nominations. This action is required regardless of accumulated imbalance positions.

Equitrans will inform Customers via an update to this notice when this OFO will be lifted.

This action is pursuant to Sections 6.11 and 6.12 of the General Terms and Conditions of Equitrans’ FERC Gas Tariff. If Customer and/or
Customer’s operator fails to comply with the terms of this OFO, such Customer shall be subject to (1) liability for any damages including, but not
limited to, direct, consequential, exemplary, or punitive dames incurred by Equitrans or any other party as a result of such failure, (2) a penalty of
$25 per Dth times the quantity of gas by which the Customer deviated from the requirements of this OFO, (3) flow control, and/or (4) a reduction
in scheduled quantities to match flowing gas. In addition, Equitrans will not permit post-cycle adjustments to avoid an OFO penalty.
